Salla Platform, owned by Salla Communications and Information Technology Company (Single Person Company) with Commercial Registration Number: 4031200589, welcomes you and wishes to draw your attention to the terms and conditions
governing the use of the Affiliate Marketing Program.
Any person’s use of the Affiliate Marketing Program on the “Salla” platform shall be deemed full acceptance of all provisions of this agreement and a commitment to abide by its terms and conditions. It also constitutes a confirmation by the user that they possess full legal and legitimate capacity.
Therefore, users are kindly requested to read this agreement carefully, as it becomes effective and binding immediately upon acceptance and registration on the “Salla” platform, pursuant to Articles 5 and 10 of the Saudi Electronic Transactions Law.
Article 1 – Introduction and Definitions:
Preamble and Definitions
The above preamble shall form an integral part of this Agreement. The following terms and expressions shall have the meanings set forth below when used throughout this Agreement:
- (Salla Platform) This term refers to Salla Information Technology Company, and includes all digital representations of the company on the internet, whether in the form of a mobile application or a website.
- (Affiliate Marketing Program) This refers to a program designed to foster collaboration between the Salla Platform and influencers or marketers for the purpose of promoting and increasing sales on the Salla Platform.
- (Merchant) This term refers to any individual or legal entity that registers on the Salla Platform to establish an online store. This definition includes all aspects of the merchant’s store, provided it operates through the Salla Platform, including the merchant’s website.
- (Store) This refers to the online store operated by the Merchant via the Salla Platform.
- (Influencer) This term refers to any individual with an established audience of not less than 3,000 followers on social media platforms, or any content creator or blogger, who holds all necessary licenses issued by the relevant authorities to conduct the activities contemplated under this Agreement.
- (Marketer) This refers to any of the following, provided they hold valid licenses from the competent authorities: marketing companies, training institutions, companies that establish online stores, companies that manage online stores, or freelance online store managers.
Article 2 – Mechanism and Conditions for the Enrollment of the Influencer or Marketer in the Affiliate Marketing Program
- The Influencer or Marketer hereby represents and warrants that they possess full legal capacity to engage in affiliate marketing activities, including but not limited to being at least 18 years of age. Registrations created using “bots” or any other automated methods are strictly prohibited. The Influencer or Marketer must also hold all necessary licenses issued by the competent authorities to perform the activities governed by this Agreement.
- Applications to join the Affiliate Marketing Program shall be submitted through the designated website.
- The Influencer or Marketer will be required to respond to a series of questions. Based on the responses, the Salla Platform shall have the sole discretion to accept or reject the application.
- The Influencer or Marketer must complete the application accurately and in full, including all required personal and payment information. All information provided is the sole responsibility of the Influencer or Marketer.
- The Influencer or Marketer undertakes to provide true, accurate, current, complete, and lawful information about themselves as required during the registration process for the Affiliate Marketing Program, and further agrees to update such information promptly in the event of any change or upon request.
- The Influencer or Marketer must own or operate a dedicated promotional platform, such as a social media account, a website, or a WhatsApp group.
- The Influencer or Marketer must review and accept the Platform’s Terms and Conditions and Privacy Policy (collectively, the “Agreement”), in addition to accepting this Policy. Registration in the Affiliate Marketing Program shall constitute full acceptance of the foregoing.
- The Influencer or Marketer must keep their profile on the Platform up to date and revise it whenever there is a change.
- The Influencer or Marketer must be a producer of family-friendly content, which may include video clips, blog posts, social media posts, webinars, or online training sessions.
- Following enrollment, the Influencer or Marketer’s performance will be assessed based on specific criteria, including:
- Client Retention Rate: At least 50% of clients acquired through the Marketer must renew their subscription for a minimum period of three (3) months.
- Sales Volume: At least 20% of the clients acquired through the Marketer must have completed no fewer than ten (10) valid sales.
Article 3 – Program Duration and Validity of the Tracking Link
The account of the Influencer or Marketer shall be automatically deactivated if it remains inactive on the Platform for a continuous period of three (3) months. To reactivate the account and resume participation in the Program, the Influencer or Marketer must contact the Program Administration.
Article 4 – Commission Rates and Rewards
- The Salla Platform uses cookie tracking technology to monitor activity associated with the Influencer’s or Marketer’s unique referral link for a period of ninety (90) days.
- The Influencer or Marketer shall be entitled to a non-refundable commission of fifteen percent (15%) of the final one-time subscription fee paid through their unique referral link, regardless of the plan selected.
- Earned commissions shall be transferred via bank transfer to the registered account of the Influencer or Marketer within thirty-five (35) days from the end of the month, provided the accrued amount is at least USD 100.
- The commission payable to the Marketer shall be inclusive of all applicable government taxes, including value-added tax (VAT), and any other statutory charges imposed on sales by the relevant authorities.
- The Platform reserves the right to recalculate and reclaim any overpaid or improperly issued commissions, including those arising from unlawful transactions. The Influencer or Marketer undertakes to reimburse any such overpaid amounts to the Platform upon demand.
- Acceptance by the Influencer or Marketer of any commission disbursed by the Platform shall constitute final and conclusive acknowledgment of the amount due and full settlement of any entitlement relating to that transaction. The Influencer or Marketer shall have no further claim with respect thereto.
- Commission payments may be delayed for purposes of transaction verification, sales confirmation, or application of the Platform’s cancellation and refund policies as outlined in the Terms and Conditions.
- The Platform reserves the right to withhold commission payments if it is determined that the Influencer or Marketer has engaged in any unlawful, fraudulent, deceptive, or policy-violating activity.
- The Influencer or Marketer agrees to return any funds paid as a result of fraudulent or falsified transactions and to compensate the Platform for all costs, losses, and damages incurred as a result of such unlawful conduct.
Article 5 – Obligations of the Influencer or Marketer
- The Influencer or Marketer shall bear full responsibility for all content used in the marketing of the Salla Platform and undertakes that all published materials shall comply with the applicable laws, regulations, and public morals in the Kingdom of Saudi Arabia and elsewhere. The content shall not infringe upon any intellectual property rights or personal rights of any third party, nor shall it cause any physical or psychological harm, defamation, harassment, violence, or discrimination. Furthermore, it shall be free from viruses or any other elements that may cause harm to others.
- The Influencer or Marketer agrees to indemnify and hold harmless the Salla Platform, its affiliates, employees, staff, managers, directors, shareholders, contractors, and clients against any claims, losses, or damages resulting from any violation of public morals, applicable regulations, or any provision of this Agreement.
- The Influencer or Marketer acknowledges that they possess all the necessary skills, resources, and qualifications to carry out the marketing activities and to fulfill their obligations under this Agreement.
- If an individual enters into this Agreement on behalf of a business entity, such individual represents and warrants that they have the authority to bind such entity and that the entity has the legal capacity to be a party to this Agreement.
- The Influencer or Marketer shall not use both an invitation coupon and an affiliate marketing link in the same registration or store creation process. Only one method may be used per registration. If both are used simultaneously, all resulting rewards, commissions, or points shall be forfeited.
- The Influencer or Marketer may not assign or delegate any of their rights or obligations under this Agreement without the prior written consent of the Salla Platform. Any attempt to do so shall be deemed null and void.
- The Influencer or Marketer shall not provide any guarantees, representations, promises, or misleading information on behalf of the Salla Platform. This includes, but is not limited to, assurances that a subscriber will earn a specific income, achieve success or happiness, or generate guaranteed profits, or promises of full store management or product marketing services without a clear and agreed plan. If such misleading claims result in customer complaints, the Platform reserves the right to:
- Terminate the agreement with the Influencer or Marketer immediately,
- Cancel any accrued commissions,
- Seek compensation for any resulting damages to the Platform.
- The Influencer or Marketer must act in good faith and refrain from engaging in any deceptive or fraudulent conduct toward potential customers.
- The Influencer or Marketer shall not promote the Platform through suspicious websites, false or misleading advertisements, or any content that may directly or indirectly mislead or harm buyers.
- The Influencer or Marketer shall not use the name, website, mobile application, or logos of the Platform in any unauthorized or suspicious marketing activity, nor shall they directly or indirectly imply that they represent the Platform. The Influencer or Marketer must clearly identify themselves as an independent promoter acting in accordance with recognized legal and contractual norms.
- The use of intrusive advertising methods such as pop-ups or spam messages is strictly prohibited. The Platform’s name, application, or branding must not appear in any such materials.
- The Influencer or Marketer is strictly prohibited from using fraudulent or illegal methods to market the Platform. Legal action will be taken if any such conduct is confirmed.
Article 6 – Intellectual Property Rights
- All content available on the Salla Platform, whether electronic or otherwise, written or non-written, shall remain the exclusive property of Salla. This includes, without limitation: written and unwritten texts, graphic designs, technical concepts, logos, promotional materials, button icons, symbols, audio clips, compiled data, and software. These materials are protected and owned solely by Salla, and no person or party is permitted to use any part of them, directly or indirectly, or via third parties, without the prior written consent of Salla.
- The management of the Salla Platform hereby affirms its intention to take all necessary legal action against any infringement or violation of Salla’s intellectual property rights.
Article 7 – General Provisions
- If any provision or clause of this Agreement is found to be invalid or unenforceable, such determination shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect unless otherwise notified by the Salla Platform.
- This Agreement, subject to modification from time to time as required, constitutes the entire understanding and operational framework between the Influencer or Marketer and the Salla Platform. The Influencer or Marketer agrees to be bound by its terms. Should the Influencer or Marketer no longer wish to participate, they must immediately cease use of the Platform and stop promoting referral codes.
- Only the Salla Platform has the authority to amend or add terms and conditions to this Agreement. Any external provisions or requirements not explicitly approved by Salla shall be deemed invalid. The Platform reserves the right to introduce any conditions it deems appropriate for the purpose of supporting its operations.
- In case of translation of this Agreement into any language, the Arabic version shall prevail and be deemed the official and binding version in all matters.
- The Platform reserves the right to reject applicants or suspend their membership, temporarily or permanently, at its sole discretion. Rejected applicants may be reviewed on a quarterly basis to determine eligibility for continued participation.
- The Salla Platform reserves the right to disqualify or suspend any Influencer or Marketer immediately and without justification if they publish content that misuses the Salla trademark, share any data regarding the Platform without prior written approval, or post content that violates public decency or community standards on their promotional channels.
- You and the Salla Platform are independent contractors. Nothing in this Agreement shall be interpreted as creating a partnership, joint venture, agency, franchise, sales representation, or employment relationship between the parties. You shall not have the authority to make or accept offers or representations on behalf of the Platform, and you shall not make any statements, on your website or elsewhere, that contradict this section.
Article 8 – Disclaimer of Liability
The Salla Platform, including its employees, owners, and representatives, shall bear no responsibility or liability for any unauthorized or unlawful act or content used in connection with affiliate marketing activities. No individual or entity may bring a claim, demand, or request for compensation against the Salla Platform in relation to any such misuse.
Article 9 – Termination of the Agreement
- The performance of affiliate marketers shall be reviewed periodically (every 3 months). In the event of non-compliance with the standards outlined in this Agreement, the marketer will receive a formal warning along with a grace period to improve performance. If violations persist or performance remains below expectations, the Company reserves the right to suspend or terminate the marketer’s account. The Company further reserves the right to amend this policy as needed to enhance service quality and ensure customer satisfaction.
- This Agreement shall be binding on the Influencer or Marketer upon submission of the affiliate marketing application through the website. However, it shall not be binding upon Salla or come into effect until Salla formally approves the application.
- The Influencer or Marketer may terminate this Agreement at any time by removing all affiliate links from any advertising platforms and deleting all copies of such links. Salla shall retain any rights or claims it may have against the Influencer or Marketer at the time of termination.
- Salla reserves the right to terminate this Agreement at any time and for any reason it deems appropriate, without prior notice to the Influencer or Marketer. Upon such termination, the Influencer or Marketer must immediately cease using and remove all affiliate links. This termination shall not affect any pending financial entitlements; any outstanding amounts due to the Influencer or Marketer, net of any liabilities, shall be settled and paid within five (5) business days from the date of termination.
Article 10 – Dispute Resolution
Regardless of your location at the time of accessing the website, you agree that any legal dispute or claim arising out of or in connection with these terms and conditions shall first be resolved amicably. If no resolution is reached, the dispute shall be submitted exclusively to the courts of the Kingdom of Saudi Arabia, specifically those located in the city of Jeddah. You hereby provide your final, irrevocable, and unconditional consent to the exclusive jurisdiction and venue of these courts for any claim or proceeding related to these terms.
Article 11 – Governing Law
This Agreement is governed by and construed in accordance with the laws, regulations, and legislation in force in the Kingdom of Saudi Arabia and is fully subject to the applicable legal framework within the jurisdiction of Saudi authorities.
Article 12 – Official Communication Channels
The official and recognized communication channel between the Salla Platform and members of the Affiliate Marketing Program shall be the following email address: [email protected]. This email shall be used for receiving inquiries, complaints, or suggestions.
